This User Agreement (hereinafter referred to as “This Agreement”) is a legal agreement between the operators of the uCloudy Disk Software (hereinafter referred to as “uCloudy” or “This Software”) (hereinafter referred to as “Us”) and all users of this Software and related services (hereinafter referred to as “You”).
Please carefully read and fully understand all the terms and conditions of this agreement before registering, signing in, and using the cloud storage and related services provided by uCloudy. Once you register, sign in, or use this software and related services, you have agreed to accept all the constraints of this agreement. If you do not agree to any terms of this agreement, do not register, sign in, or use this software and related service.
1. Service scope and definition
1.1 Core Definition
1.1.1 uCloudy Services: Means a set of core services and value-added services that we provide to you through the uCloudy software, such as global cloud storage, file uploads and downloads, file management, multi-device synchronization, link sharing, and more.
1.1.2 User Account: refers to the unique account that you create through the registration process to sign in to uCloudy and use the related services. You are responsible for setting up and storing the account information.
1.1.3 Value-added services: Refer to the additional services we provide in addition to the underlying cloud storage services, such as paid storage scaling, high-speed transfer, and advanced security, as shown in uCloudy software.
1.2 Service Scope
1.2.1 We provide you with global cloud storage services where you can log in to your account from any compatible device, upload, store, manage, share, and sync files across multiple devices.
1.2.2 We have the right to adjust the scope and functionality of our service based on technical upgrades and service optimization needs. If there are changes to our core service, we will notify you in advance through in-software notifications, registered mailboxes, etc.
2. User Account Specifications
2.1 Account Registration
2.1.1 You must be at least 18 years old (or meet the legal minimum age of use in your region) to register for an uCloudy account, providing true, accurate, and complete information (including, but not limited to, email address and mobile phone number).
2.1.2 You commit yourself to the authenticity and validity of your registered information. If the information changes and needs to be updated promptly, you are solely responsible for any account disability or other risks arising from inauthenticity or incompleteness of the information.
2.2 Account Usage and Retention
2.2.1 You are responsible for the security of your uCloudy account and password, do not disclose account information to any third party, and strictly prohibit loan, rental, sale, or sharing accounts.
2.2.2 If you discover an unusual login to your account, information leakage, or other security issues, you should inform us promptly, and we will assist you in taking measures such as freezing your account, changing your password, and so on. You are liable for any losses caused by your failure to inform us promptly.
2.3 Account Logout
2.3.1 You have the right to request to sign out of your uCloudy account at any time. Before signing out, you must clear all files and related data in your account. After signing out of your account, all data will not be recoverable, and you will no longer be able to log in to uCloudy using that account.
2.3.2 After the account is logged out, we will delete your personal information and account data in accordance with the relevant privacy policy agreement, except as otherwise stipulated by law and regulations.
3. User Behavior Code
3.1 Legal Use Obligations
3.1.1 You promise that when using the uCloudy services, you will strictly comply with the laws and regulations of your locality, international conventions, and the terms of this Regulation, and will not make use of this Software for any illegal or non-compliant activities.
3.1.2 You may not use uCloudy to store, transmit, or share any content that violates any law or regulation or violates the legitimate interests of others, including but not limited to pornography, violence, terrorism, infringing works, false information, malicious software, etc.
3.2 Forbidden Behaviors
3.2.1 Unauthorized access, intrusion into uCloudy servers and systems, hacking, tampering with software code, or bypassing security measures are strictly prohibited.
3.2.2 The use of uCloudy for spam, cyberattacks, data theft, etc. is strictly prohibited without affecting the normal operation of uCloudy services and the experience of other users.
3.2.3 The use of uCloudy services is strictly prohibited, including but not limited to bulk uploads of unrelated files, malicious occupation of cloud storage space, frequent generation of sharing links that interfere with service orders, etc.
4. Cloud Storage and File Management Specifications
4.1 File storage requirements
4.1.1 The files you upload to uCloudy are subject to law and regulations as well as the provisions of this Regulation, and you are solely responsible for the legality, authenticity, and integrity of the files.
4.1.2 We have the right to conduct compliance checks on the files you upload, and if we discover non-compliant files, we have the right to take measures such as deleting, blocking, restricting access, etc., without needing to notify you in advance, and you are responsible for the resulting losses.
4.2 Storage and Usage Limits
The 4.2.1 basic cloud storage service provides free storage space, with specific capacity shown within the uCloudy software. You can scale your storage space by enabling value-added services.
4.2.2 If your file storage exceeds the current available space, you will not be able to continue uploading new files, we have the right to warn you to clean up files or expand space, overdue unprocessed may limit some service functionality.
4.3 File Ownership and Authorizations
4.3.1 You retain ownership of the files you upload to uCloudy. We only provide you with storage and related technical services, and do not share any ownership or rights to use the files.
4.3.2 Your uploading of a file is considered to authorize us to perform the necessary technical processing of the file (including, but not limited to, encryption, compression, transcoding) for the purposes of providing the Service, and this authorization is used only for the provision of the Service and not for other purposes.
5. Service fees and payment specifications
5.1 Cost Standards
5.1.1 The underlying cloud storage services are provided free of charge. Value-added services will be charged according to the price standards published within the uCloudy software. Prices may be adjusted based on market conditions, and you will be notified in advance of adjustments.
5.1.2 When you activate Value Added Services, you must pay the fee at the published price. Upon completion of the payment, you will be able to enjoy the corresponding Value Added Services. Once the fee is paid, it is not refundable (unless otherwise stipulated by law and regulations or otherwise agreed between the two parties).
5.2 Payment and renewal fees
5.2.1 You can pay for service fees through a payment method supported by uCloudy (including, but not limited to, credit cards, third-party payment platforms), and the payment process must comply with the relevant regulations of the payment platform.
5.2.2 If you have enabled the auto-renewal feature, the corresponding charge renewal will be automatically deducted upon expiration. If you need to cancel auto-renewal, you need to do so through in-software settings prior to expiration.
5.3 Service Termination and Refunds
5.3.1 If you violate the terms of these Terms, we have the right to terminate your value-added service, and the fees paid will not be refundable.
5.3.2 If the value-added service cannot be provided normally due to our own reasons, we will refund the corresponding fees based on the period of service you did not use.
6. Changes, pauses, and terminations of services
6.1 Service Changes
6.1.1 We have the right to make changes to the functionality, content, or usage of the uCloudy service based on technical upgrades, business adjustments, etc. If changes to the core service are involved, you will be notified 7 business days in advance through in-software notification, registered mailbox, etc.
6.1.2 If you do not agree to changes to the Service, you can apply to sign out your account. If you continue to use the Service, it will be considered that you agree to the content of the Service after the changes.
6.2 Service Suspension
6.2.1 We may suspend some or all of our services due to server maintenance, technical failure, irresistible forces, etc. We will notify you in advance in a reasonable manner and will not be liable for breach of contract during the suspension period.
6.2.2 If you violate the terms of these Terms and Conditions, we have the right to suspend your account and services, require you to make changes, and after the changes are completed, the service can be resumed, and you are liable for any losses incurred during the suspension.
6.3 Service Termination
6.3.1 This Service may be terminated by you voluntarily requesting the termination of your account, or by us as stipulated in these terms.
6.3.2 If you commit a serious violation of this provision, or if you do not use your account for a prolonged period (more than 12 months), we have the right to terminate your service. Before termination, we will notify you via registered email. Account data that is not processed promptly will be cleaned up as required.
7. Intellectual Property and Disclaimer
7.1 Intellectual Property Attribution
7.1.1 All intellectual property rights of uCloudy software (including but not limited to the software code, interface design, trademarks, logos, text content, etc.) are ours and are protected by international intellectual property laws.
7.1.2 You must not copy, modify, distribute, or transfer any part of the uCloudy Software without permission, and you must not violate our intellectual property rights, otherwise you will be liable to appropriate legal liability.
7.2 Disclaimer
7.2.1 If service cannot be provided normally due to unavoidable forces (including but not limited to earthquakes, floods, typhoons, network disruptions, server failures, etc.), we take no responsibility for breach of contract, merely informing you promptly and doing our best to restore service.
7.2.2 You are solely responsible for any file loss, account anomaly, or loss resulting from your own misconduct, account breach, third-party attack, etc. We do not assume any liability for compensation.
7.2.3 We are not responsible for the authenticity, legality, and completeness of the content of the documents you upload. If any dispute arises due to infringement of the rights and interests of others due to the content of the documents, you take full responsibility on your own, and we are not involved.
8. Dispute resolution and contact information
8.1 Dispute Resolution
8.1.1 Disputes arising from or related to this provision may be resolved by negotiation with us; if negotiation fails, any party has the right to file a lawsuit in the courts with jurisdiction where the service provider resides.
8.1.2 The interpretation and enforcement of this provision is governed by applicable global general laws and regulations, with local laws and regulations taking precedence if you have stricter requirements in your region.
